Terms of Service

These Terms govern your use of the Truterax website and form the foundation of any service agreement we enter into with you. Specific project work is additionally governed by a written Statement of Work (SOW) or Master Services Agreement (MSA).

1. Acceptance of these Terms

By accessing or using truterax.com (the "Site") or engaging us for services, you agree to be bound by these Terms. If you do not accept them, please do not use the Site or our services.

2. About us

Trutera X is the trading name of TRUTERA X (PTY) LTD (CIPC registration number 2026/379872/07, effective 18 May 2026), an AI-first engineering studio incorporated in the Republic of South Africa. Our registered address is SPACES, 50 Long Street, Cape Town, 8001, South Africa.

3. Use of the website

You agree to use the Site lawfully and not to:

  • Attempt to gain unauthorised access to any part of the Site, our servers, or related systems
  • Interfere with or disrupt the Site's operation
  • Use the Site to transmit malware, spam, or unlawful content
  • Scrape, mine, or harvest data from the Site without our written permission
  • Misrepresent your identity or affiliation

4. Our services

Truterax provides web development, e-commerce, mobile app, CMS integration, AI integration, UX/UI design, SEO, and related professional services. The Site is informational — engagement of services occurs only upon mutual signature of a written Statement of Work or Master Services Agreement.

Any quotes, proposals, or estimates shared via the Site or email are non-binding unless expressly stated otherwise in writing and signed by both parties.

5. Fees and payment

Project fees, payment schedules, and currency are set out in the applicable SOW. Unless otherwise stated:

  • Invoices are payable within 14 days of issue
  • Late payments may incur interest at the prescribed rate under the Prescribed Rate of Interest Act
  • VAT (where applicable) is added at the prevailing rate
  • Third-party costs (hosting, licenses, stock assets) are billed at cost plus reasonable handling

6. Intellectual property

Our IP: The Site, including its design, code, copy, graphics, and logo, is the intellectual property of Truterax and is protected by South African and international copyright laws. Nothing on the Site grants you a licence to use our IP without our prior written consent.

Client IP: On final payment of all invoices for a given project, you receive a perpetual, worldwide licence to use the bespoke code, designs, and assets produced specifically for you. Our reusable internal tools, frameworks, and pre-existing IP remain ours.

Third-party IP: Open-source libraries, fonts, and stock assets used in your project remain governed by their respective licences.

7. Confidentiality

Both parties agree to keep confidential any non-public information disclosed by the other in the course of an engagement, and to use such information only for the purposes of delivering or receiving the services. Specific NDAs are signed where required.

8. Warranties & limits

We will provide our services with reasonable skill and care. The Site is provided "as is" without any warranty, express or implied. To the maximum extent permitted by law, we exclude all warranties of fitness for purpose, merchantability, accuracy, and non-infringement in respect of the Site itself.

9. Limitation of liability

To the maximum extent permitted by South African law, our total aggregate liability arising out of or related to these Terms or any SOW is capped at the total fees paid by you to us under the relevant SOW in the 12 months preceding the event giving rise to the claim.

We will not be liable for any indirect, consequential, incidental, or special losses, including loss of profits, revenue, data, or business opportunity.

Nothing in these Terms excludes or limits liability for: gross negligence, wilful misconduct, fraud, death or personal injury caused by our negligence, or any liability that cannot be excluded by law.

10. Indemnity

You agree to indemnify and hold harmless Truterax against any third-party claims arising from (a) your breach of these Terms, (b) your unlawful use of the Site, or (c) content or materials you provide to us that infringe third-party rights.

11. Termination

We may suspend or terminate your access to the Site at our discretion if you breach these Terms. Termination of an engagement is governed by the relevant SOW or MSA.

12. Governing law and disputes

These Terms are governed by the laws of the Republic of South Africa. Any dispute that cannot be resolved by good-faith negotiation within 30 days will be referred to mediation in Cape Town under the rules of the Arbitration Foundation of Southern Africa (AFSA). Either party retains the right to seek urgent interdictory relief from a competent court.

13. General

  • Entire agreement: These Terms, together with any signed SOW/MSA and our Privacy Policy, constitute the entire agreement between us.
  • Severability: If any provision is held unenforceable, the rest remains in force.
  • No waiver: Failure to enforce a right does not waive it.
  • Assignment: You may not assign these Terms without our written consent.
  • Force majeure: Neither party is liable for failures caused by events beyond reasonable control.
  • Updates: We may update these Terms; continued use after a posted update constitutes acceptance.
